1. Scope & Priority of Terms

1.1 These Website Terms apply alongside, rather than replacing, your formal Connection Agreement and any other service contracts you hold with us. If there is any conflict between these website terms and your signed Connection Agreement or other service documents, the terms of your formal service contract shall prevail.

1.2 If you have no separate Connection Agreement with Warner Telecom, these Website Terms shall govern all your use of our website, site content, and all telecom products, broadband, mobile and business services promoted or available via this site.

1.3 Certain specialised services (e.g. corporate dedicated lines, bulk SMS, IP multicast services) carry supplementary service-specific rules, which are published alongside relevant service pages and form an integral part of these Terms. All capitalised defined expressions carry the meanings set out in Clause 40 Definitions at the end of this document.

1.4 Minors under 18 years old may only access this website and purchase our services with formal written consent from a parent or legal guardian aged 18 or over, who accepts these Terms on your behalf.

2. Our Service Commitments

2.1 We will deliver all ordered telecom services with reasonable skill, care and within commercially reasonable timelines, unless we explicitly notify you of alternative delivery arrangements. However, we make no unconditional warranties that our network, website or digital tools will:

(a) operate continuously, error-free or available at all locations and times without interruption;

(b) remain fully secure, private or immune to unauthorised access risks;

(c) be completely free from malware, viruses or malicious digital threats.

2.2 In the event of network outages, website downtime or service faults caused by our systems, we will deploy reasonable technical resources to restore functionality as quickly as practicable.

2.3 We regularly update website content, pricing and service information but do not guarantee all site material will always be fully accurate, complete or real-time. You should verify critical pricing, contract and service details with our customer support team before entering binding orders.

2.4 We may engage trusted subcontractors to deliver parts of our network and customer services. We remain accountable for core service obligations to you, but accept no liability for third-party contractor negligence outside our direct control, subject to the liability limitations set out in Clause 26.

2.5 We exclude liability for faults arising from non-Warner Telecom hardware, customer misconfiguration, unapproved third-party equipment, or use of services contrary to these Terms or your Connection Agreement.

3. Your Obligations as a User

When accessing our website, using our online tools or purchasing any Warner Telecom service, you agree to comply with all of the following obligations:

3.1 Abide fully by these Website Terms, your Connection Agreement and any supplementary service rules.

3.2 Keep all personal, billing and contact information you submit to us complete, accurate and up-to-date at all times.

3.3 Comply with all applicable New Zealand legislation, including the Copyright Act 1994, Privacy Act 2020, Consumer Guarantees Act 1993, Fair Trading Act 1986, Crimes Act 1961 and Defamation Act 1992, alongside all telecommunications industry codes administered by the Telecommunications Forum.

3.4 Ensure any third party accessing your account or using services linked to your identity also adheres to these Terms; you remain fully responsible for all activity under your account credentials.

3.5 Maintain strict confidentiality of all login credentials, passwords, PINs and other Security Information, and never disclose these details to unauthorised third parties. Notify our support team immediately if you suspect unauthorised access to your account.

4. Permitted Website & Service Usage

4.1 You may use this website solely for the following lawful purposes:

(a) Learning about Warner Telecom, our partner networks, consumer mobile, broadband and business telecom offerings;

(b) Registering customer accounts, submitting service orders, paying bills and managing active services via approved online portals;

(c) Completing actions explicitly permitted by on-site website instructions;

(d) Personal non-commercial use for individual consumers, or internal business operations only for registered corporate clients.

4.2 All our network services, mobile plans and fixed broadband may only be used in line with these Terms, your Connection Agreement and published service usage rules. Resale, wholesale redistribution or commercial exploitation of our services without prior written approval is strictly prohibited.

4.3 The website may contain hyperlinks to external third-party websites for your convenience. We do not endorse, control or take responsibility for third-party site content, privacy practices or terms of service, and you access external links at your own risk.

4.4 Where software, device configuration files or client applications are downloaded to your hardware to enable our services:

(a) You receive a limited, non-transferable, revocable licence to use such software solely alongside Warner Telecom services; full ownership of all software IP remains with us or our licensed suppliers.

(b) Reverse engineering, decompilation, copying, redistribution or modification of any supplied software is forbidden without our written consent.

(c) Software downloads are provided free of charge unless explicit pricing is displayed on the website prior to download.

(d) We do not guarantee full compatibility between supplied software and all user devices. We reserve the right to withdraw your software usage licence at any time with reasonable notice, upon which you must immediately cease all use of the software.

5. Prohibited Website & Network Conduct

You must not use this website, our network infrastructure, digital content or any Warner Telecom service to engage in any of the following activities:

5.1 Any conduct that violates New Zealand law, industry regulations or creates criminal liability.

5.2 Hacking, unauthorised network scanning, spidering, bot scraping, automated data harvesting or deploying crawler tools without our prior written permission.

5.3 Distributing viruses, ransomware, trojans, worms, malware or any destructive digital code to disrupt our networks, website systems or other users' devices.

5.4 Sending bulk unsolicited commercial messages, spam, chain letters, pyramid scheme communications or malicious prank traffic over our SMS, voice or data networks.

5.5 Harassing, stalking, threatening, defaming or discriminating against other individuals via our communications platforms; transmitting hate speech, racist, discriminatory or offensive religious material.

5.6 Intercepting, altering or accessing communications data not intended for your account.

5.7 Running unapproved IP multicast, live high-bandwidth video/audio streaming or other traffic-heavy applications without formal written consent from Warner Telecom.

5.8 Using false identities, fake account details or impersonation to mislead other users or evade network monitoring.

5.9 Connecting uncertified, unapproved hardware devices to our network without customer service confirmation.

5.10 Allowing third-party agents to access your account or utilise our services on your behalf without our written approval.

5.11 Mail bombing, war dialling or deploying tools designed to overload or degrade service performance for other network users.

5.12 Any activity intended to copy, extract, reproduce or commercially exploit our website content, trademarks, branding or proprietary data.

6. Intellectual Property & Copyright

6.1 All Intellectual Property rights in this website including all text, graphics, photographs, branding, logos, layout design, software code, service documentation and digital media are legally owned or exclusively licensed to Warner Telecommunication Limited and our supply partners. All global rights are fully reserved.

6.2 This website's full content is protected under © Copyright 2026 Warner Telecommunication Limited in accordance with the Copyright Act 1994. No part of the site may be copied, printed, framed, hotlinked, reproduced, translated, distributed or modified for commercial purposes without our prior written authorisation.

6.3 Limited personal single-copy downloading or printing of site pages is permitted solely for your individual reference use; all copyright, trademark and proprietary notices must remain intact on all retained copies.

6.4 If you submit user-generated content, feedback, messages or other material to our website portals, you warrant that you hold full copyright or licensing rights to that material. You grant Warner Telecom a permanent, global, royalty-free, non-exclusive licence to use, display and publish your submitted content for business and customer communications purposes. You agree to fully indemnify us against all losses, claims and legal costs arising from unauthorised third-party IP contained in your submissions.(only for direct losses and reasonable legal fees arising from the User's infringement)

6.5 Our registered and unregistered trademarks, service marks and brand names may not be reproduced, altered or used in any advertising, marketing or third-party content without formal written licence.

7. Privacy & Customer Data

7.1 All collection, storage, use and sharing of your personal information is governed by our standalone Website Privacy Policy, which complies with the Privacy Act 2020 and Telecommunications Information Privacy Code 2020. By using this website, you consent to our privacy data handling practices as outlined in that policy.

7.2 We retain customer data and website usage records only for a reasonable operational period aligned with legal retention requirements, and may securely delete historical user data without prior notice once retention periods expire. We do not guarantee permanent storage of your uploaded files, message history or browsing data.

8. Liability Disclaimers & Limitations

8.1 To the maximum extent permitted by New Zealand law, we exclude all indirect, consequential, incidental or special losses arising from your website or service use, including lost profits, lost business opportunities, revenue loss, data corruption, wasted expenditure or commercial interruption.

8.2 For business customers using services for commercial purposes only: Our total aggregate financial liability to you for all claims arising from these Website Terms is capped at the total amount you have paid to Warner Telecom for services in the preceding 12 months, or NZD 1,500 (whichever is higher). This liability cap does not apply to individual consumers using services for personal domestic use, fraud, intentional breach or wilful negligence caused by our staff.

8.3 We accept no liability for third-party website content, third-party supplier failures, data loss from user device error, or communications content transmitted by you over our network.

8.4 All implied warranties and representations relating to website access and digital services are excluded to the full legal extent permitted for commercial users. For individual consumers using services for personal non-business purposes, nothing in these Terms removes or restricts your statutory consumer rights under New Zealand consumer protection legislation.For consumers using services solely for personal or household use, if our services suffer a substantial failure, you are entitled under the Consumer Guarantees Act 1993 to request rectification, replacement, full refund or contract cancellation, and claim full compensation for all reasonably foreseeable direct losses caused by our fault. For minor service failures, you may require us to remedy the service free of charge within a reasonable timeframe.

9. Billing, Fees & Payment

9.1 All service fees, monthly charges, installation costs and one-off fees are displayed on our website or stated within your Connection Agreement. You remain fully liable for all charges incurred under your account, regardless of which individual or device uses the linked services. All charges will appear on your monthly billing statement.

9.2 Service suspension or temporary outage does not waive ongoing fixed line rental, minimum contract charges or recurring subscription fees payable under your service agreement.

10. Breach, Suspension & Termination

10.1 If you materially breach any provision of these Website Terms, we reserve the absolute right to restrict website access, suspend your network services or fully terminate your account at our sole discretion. We will make reasonable efforts to notify you of the breach prior to suspension where practicable, but are not obligated to provide correction windows in cases of serious unlawful activity (e.g. malware distribution, fraud, spam abuse).

10.2 You may cease using our website or terminate your active services at any time by following the official cancellation processes published on our site or contacting customer support, subject to the minimum contract terms set out in your Connection Agreement.

10.3 We conduct automated and manual network monitoring to detect violations of these Terms, and may retain records of rule breaches for compliance and legal enforcement purposes.

10.4 You may not force us to pursue legal action against third-party users who cause you loss or inconvenience through breach of these Terms.

11. Amendments to These Terms

We reserve the right to update, modify or revise these Website Terms of Use at any time without mandatory advance individual notice. Updated terms will be published live on this legal page and take effect immediately upon posting. Your continued use of the website after amendments are published constitutes your acceptance of the revised clauses. We recommend reviewing this page regularly for changes.(Where material adverse changes are made to charging, service liability or data privacy terms, we will notify registered account holders via email or SMS at least 14 days prior to the revised terms taking effect. Casual browsing visitors are responsible for regularly reviewing this page.)

12. General Provisions

12.1 You may not assign or transfer any rights or obligations under these Terms to a third party without our written consent. Warner Telecom may freely assign our contractual rights and obligations to group subsidiaries or acquiring third-party operators without prior customer notification.

12.2 These Terms are governed by and interpreted under the laws of New Zealand. All disputes connected to website access or service use fall under the exclusive jurisdiction of New Zealand courts.

12.3 If any single clause within these Terms is ruled invalid or unenforceable by a competent court, the remaining provisions remain fully binding and in full legal effect.

12.4 These Website Terms, together with your Connection Agreement, Privacy Policy and any service-specific supplementary terms, constitute the entire binding agreement between you and Warner Telecom; all prior verbal or written representations not documented within these formal documents are superseded and excluded.

13. Definitions

For the purposes of these Terms, capitalised words carry the following meanings:

Content: All text, images, audio, video, graphic design, written information and digital media hosted on the Warner Telecom website.

Connection Agreement: Formal signed service contract between you and Warner Telecom covering mobile, broadband, fixed line or corporate network services.

Device: Any hardware used to access our website or network, including mobile phones, laptops, modems, tablets and desktop computers.

Intellectual Property: All copyright, trademarks, design rights, software licences, trade secrets and proprietary digital assets owned or licensed to Warner Telecom.

Network: All telecommunications infrastructure, servers, data lines and supporting systems operated by Warner Telecom.

Security Information: Usernames, account passwords, PIN codes, biometric credentials and unique account identifiers used to authenticate your access.

Spam: Mass unsolicited bulk messages distributed for advertising or deceptive purposes across SMS, email or voice channels.

Trademarks: All registered and unregistered brand marks, logos and service identifiers belonging to Warner Telecom.

we / us / our: Warner Telecommunication Limited, all group subsidiaries, affiliated companies, directors, employees and authorised agents.

you: Any website visitor, registered customer, individual consumer or corporate entity accessing our website or purchasing our telecom services.
